These Terms of Service (the "Terms") govern access to and use of the lmental website and the services offered by lmental as an artificial intelligence development agency. Access to and use of the site and services is governed by the laws of the Bolivarian Republic of Venezuela, including the Civil Code, the Commercial Code, the Decree-Law on Data Messages and Electronic Signatures, and the Special Law Against Computer Crimes.

2. Description of Services
lmental provides custom software development services and enterprise products based on artificial intelligence, including LLM agents, MLOps pipelines, and related solutions. The specific scope of each project will be defined in a separate proposal, quote, or contract.
3. Engagements and Specific Contracts
These Terms are general in nature. Each engagement will be governed by a specific contract or statement of work between the parties. In the event of any conflict, the specific contract shall prevail over these Terms.
4. Client Responsibilities
The client undertakes to provide accurate information, to have the necessary rights over any materials or data provided, and to use the services and deliverables lawfully and in accordance with these Terms and applicable legislation.
5. Intellectual Property
Except as otherwise agreed in writing, the content of this website, brands, logos, and pre-existing materials of lmental are its exclusive property. The ownership of the deliverables developed for a client will be defined in the corresponding contract.
6. Confidentiality
Each party undertakes to keep confidential the non-public information received from the other party in connection with the services and to use it solely for the purposes of the engagement.
7. Fees and Payment
The fees, currency, payment terms, and applicable taxes will be established in the corresponding proposal or contract, in accordance with Venezuelan commercial and tax legislation.
8. Warranties and Disclaimers
The services are provided professionally and diligently. Except as expressly agreed, the website and its content are provided "as is", without warranties of any kind regarding uninterrupted availability or absence of errors.
9. Limitation of Liability
To the maximum extent permitted by applicable law, lmental shall not be liable for indirect, incidental, or consequential damages arising from the use of the website. Liability arising from a specific engagement will be governed by the corresponding contract.
10. Electronic Communications
In accordance with the Decree-Law on Data Messages and Electronic Signatures, the parties acknowledge the validity and legal effect of communications, data messages, and electronic signatures exchanged in connection with the services.
11. Term and Termination
We may suspend or restrict access to the website at any time for maintenance or security reasons. Termination of a specific engagement will be governed by its corresponding contract.
12. Force Majeure
Neither party shall be liable for failure to perform its obligations due to fortuitous events or force majeure, as provided in the Civil Code of Venezuela.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of the Bolivarian Republic of Venezuela. Any dispute shall be submitted to the competent courts of Venezuela, unless the parties agree to an alternative dispute resolution mechanism in the corresponding contract.

We may modify these Terms at any time. The current version will be published on this website, indicating the date of the latest update.
